SumoSim LTD Terms and Conditions

Welcome to SUMOSIM LTD. By using our services, products, or website, you agree to comply with and be bound by these Terms and Conditions ("Terms"). Please read them carefully before accessing or using our services. If you do not agree with any part of these Terms, you must not use our services. 

These Terms constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and SUMOSIM LTD ("SUMOSIM," "Company," "we," "us," or "our"). 

 

1. Definitions 

1.1 "Services" refers to any product, software, technology, or service provided by SUMOSIM LTD, including but not limited to simulations, software tools, consulting, and related support. 

1.2 "Website" refers to the official website of SUMOSIM LTD (www.sumosim.com) or any other domain owned and operated by SUMOSIM LTD. 

1.3 "Agreement" refers to these Terms and Conditions, along with any other legal agreements or documents referenced or incorporated herein. 

1.4 Account” The mobile phone account that a Customer registers or activates, which SUMOSIM uses to deliver Services and manage the Customer's Personal Data. 

1.5 “Digital Asset” refers to any cryptographically secured digital representation of value or contractual rights that uses distributed ledger technology and is transferable, storable, and tradable electronically, including but not limited to Bitcoin (BTC), Ether (ETH), Solana (SOL), and any other digital currencies or tokens supported by SUMOSIM LTD for the purposes of the rewards programme. 

1.6 “Digital Asset Reward” or “Reward” refers to a discretionary benefit conferred upon an eligible User in the form of a Digital Asset or a wrapped equivalent, calculated as a fixed percentage of the subscription payment made by the User, and issued in accordance with Clause 5 of these Terms and Conditions. 

1.7 “Wrapped Digital Asset” refers to a tokenised version of a Digital Asset that is issued and transacted on a blockchain other than the Digital Asset’s native blockchain and is intended to represent an equivalent value of the native asset, including but not limited to Wrapped Bitcoin (WBTC), Wrapped Ether (WETH), or other similar tokens conforming to the ERC-20 or other recognised token standards. 

1.8 “Wallet” or “Cryptocurrency Wallet” refers to a software or hardware application or device capable of securely receiving, storing, and transmitting Digital Assets and that supports the receipt of the relevant Digital Asset or Wrapped Digital Asset issued by SUMOSIM LTD as a Reward. 

1.9 “Market Rate” refers to the spot exchange rate of the relevant Digital Asset, expressed in GBP, as published by a reputable cryptocurrency pricing index, aggregator, or centralised exchange selected by SUMOSIM LTD, determined at 12:00 UTC on the relevant valuation date as set out in Clause 5.2. 

2.0 "SumoSim Digital Wallet" refers to a non-custodial wallet made available by SUMOSIM LTD to the User.

2. Acceptance of Terms 

2.1 By accessing or using the Services, you affirm that you have read, understood, and agreed to abide by these Terms. 

2.2 If you are using the Services on behalf of an organization, you represent that you have the authority to bind the organization to these Terms. 

2.3 SUMOSIM may, at its sole discretion, modify or revise these Terms at any time by updating this page. Any changes will become effective immediately upon posting. You should review these Terms periodically to stay informed of updates. 

 

3. Use of the Services 

3.1 Eligibility: To use the Services, you must be at least 18 years of age, or the legal age of majority in your jurisdiction. If you are using the Services on behalf of a business or entity, you represent that you are authorized to do so. 

3.2 License Grant: Subject to your compliance with these Terms, SUMOSIM grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your personal or internal business use. 

3.3 Restrictions: You agree not to: 

  • Reverse engineer, decompile, or disassemble any portion of the Services. 

  • Use the Services for illegal, unlawful, or unauthorized purposes. 

  • Distribute, sublicense, lease, or otherwise transfer the Services to third parties without SUMOSIM’s express written consent. 

  • Interfere with or disrupt the integrity or performance of the Services. 

3.4 Account Registration: Some Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to maintain and update your account information as necessary. 

3.5 User Responsibilities: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SUMOSIM immediately of any unauthorized access to your account. 

 

4. Payment and Fees 

4.1 Subscription Fees: If you subscribe to a paid version of the Services, you agree to pay all applicable fees as outlined during the purchase process. Payment terms, billing cycles, and renewal procedures will be specified on the Website or within the Services. 

4.2 Payment Methods: You may be required to provide a valid payment method, such as a credit card. By providing payment information, you authorise SUMOSIM to charge your payment method for all amounts due for the Services. 

4.3 Billing and Taxes: All fees are exclusive of any applicable taxes, duties, or governmental charges. You are responsible for paying any such taxes, including sales, use, or value-added taxes, as well as any fees that may arise in your jurisdiction. You are solely responsible for determining, declaring, and fulfilling any tax obligations arising in connection with the receipt, holding, or disposal of Digital Asset rewards, including without limitation any capital gains, income tax, or reporting obligations under the laws of their jurisdiction. SUMOSIM does not provide legal, financial, or tax advice. 

4.4 Refunds: All fees are non-refundable except as expressly provided by law or in our refund policy, which is available on the Website. 

 

5. Digital Asset Rewards 

5.1 Nature and Status of Rewards: The Digital Asset rewards conferred upon Users in connection with their subscription to a SUMOSIM plan are discretionary benefits issued as part of a loyalty or promotional scheme and do not constitute interest, profit, investment returns, securities, regulated instruments, or payment for services. These rewards are not intended to represent, and shall not be construed as, a financial product or regulated activity under the Financial Services and Markets Act 2000 (FSMA), nor do they give rise to any fiduciary or trust relationship between SUMOSIM and the User. 

SUMOSIM does not hold itself out as providing regulated investment services, and the receipt of Digital Asset rewards is not protected under the Financial Services Compensation Scheme (FSCS) or the jurisdiction of the Financial Ombudsman Service. 

5.2 Calculation and Valuation of Rewards: The amount of each Digital Asset reward shall be calculated at the time of successful processing of the User’s renewal payment for the applicable subscription period. The GBP-equivalent reward entitlement (e.g., 10% of the plan fee) shall be converted into the selected Digital Asset using the prevailing spot market rate of such asset as at 12:00 Coordinated Universal Time (UTC) on the date the renewal payment is confirmed. 

The applicable exchange rate shall be derived from a reputable pricing source or exchange selected by SUMOSIM in its sole discretion and may reflect a mid-market average or last traded price. 

5.3 Issuance and Delivery: Digital Asset rewards shall be issued to the User on the last day of the calendar month following the successful processing of the renewal payment. By default, rewards shall be distributed on the native blockchain network of the selected Digital Asset (e.g., Bitcoin on the Bitcoin network, Ether on the Ethereum network). 

However, in circumstances where, in SUMOSIM’s reasonable judgment, network congestion, elevated transaction fees, protocol disruptions, or other operational constraints make such issuance impracticable, SUMOSIM reserves the right to deliver rewards in the form of a wrapped equivalent of the selected asset (e.g., WBTC, WETH) on an EVM-compatible chain, including but not limited to Ethereum Mainnet, Polygon, or Arbitrum. The wrapped asset shall be equivalent in quantity and value to the native asset at the time of conversion, subject to commercially reasonable efforts. 

5.4 Eligibility Conditions: Users shall be eligible to receive Digital Asset rewards only where: 

(a) the relevant subscription payment has been successfully settled and not subsequently refunded, reversed, or disputed; 

(b) the User’s subscription remains active and in good standing at the time of reward issuance; 

(c) the User has signed up to a valid and operable SumoSim Digital Wallet capable of receiving the relevant Digital Asset or its wrapped equivalent. 

SUMOSIM reserves the right to withhold, cancel, or reverse rewards (where possible) issued to accounts that are determined to have engaged in fraudulent activity, abuse of the reward programme, or violations of these Terms and Conditions. 

5.5 User Responsibility for Wallets (including SumoSim Digital Wallet): SUMOSIM does not hold or custody User wallets and shall not be responsible for any loss arising from the User’s mismanagement, compromise, or loss of access to their SumoSim Digital Wallet. 

Where User provided, It is the sole responsibility of the User to ensure that any wallet address provided to SUMOSIM is accurate, valid, and capable of receiving the specified type of Digital Asset or wrapped equivalent. SUMOSIM shall not be liable for any loss, non-delivery, or misdirection of Digital Asset rewards due to incorrect, incompatible, or misconfigured wallet addresses provided by the User. 

5.6 Volatility and Market Risk: The value of Digital Asset rewards is highly volatile and may experience significant fluctuations in market price following issuance. SUMOSIM makes no representation or warranty as to the future value or liquidity of any Digital Asset reward. Users accept the full risk of price movements, market devaluation, or total loss of value of the Digital Assets issued as rewards. 

5.7 Taxation: Users are solely responsible for determining, declaring, and fulfilling any tax obligations arising in connection with the receipt, holding, or disposal of Digital Asset rewards, including without limitation any capital gains, income tax, or reporting obligations under the laws of their jurisdiction. SUMOSIM does not provide legal, financial, or tax advice. 

5.8 Programme Modification and Termination: SUMOSIM reserves the right, at any time and without liability, to modify, suspend, or terminate the Digital Asset rewards programme in whole or in part, including but not limited to changing the reward rate, altering supported Digital Assets, migrating supported blockchain networks, imposing or changing eligibility requirements, or ceasing issuance altogether. Any such modification shall not affect rewards already issued. 

6. Intellectual Property 

6.1 Ownership: SUMOSIM retains all right, title, and interest in and to the Services, including all associated intellectual property, such as patents, trademarks, copyrights, and trade secrets. 

6.2 User Content: If you submit, upload, or share any content (such as data, feedback, or suggestions) in connection with your use of the Services, you grant SUMOSIM a non-exclusive, worldwide, royalty-free, and transferable license to use, modify, reproduce, and distribute such content for the purpose of improving the Services. 


7. Privacy and Data Protection 

7.1 Privacy Policy: Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. Please review our Privacy Policy for more information. 

7.2 Data Security: We implement commercially reasonable security measures to protect your personal and financial information. However, no system is 100% secure, and we cannot guarantee the absolute security of your data.

 

8. Termination 

8.1 Termination by User: You may terminate your account or subscription at any time by following the cancellation instructions provided in the Services or by contacting SUMOSIM customer support. 

8.2 Termination by SUMOSIM: SUMOSIM reserves the right to suspend or terminate your access to the Services if: 

  • You violate these Terms. 

  • SUMOSIM believes that your actions may harm its reputation or operations. 

  • You fail to pay any amounts owed under your account. 

8.3 Effect of Termination: Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Services. Any outstanding payments owed by you to SUMOSIM will remain due and payable. 


 

9. Disclaimers and Limitation of Liability 

9.1 No Warranty: The Services are provided "as is" and "as available." SUMOSIM does not make any warranties or representations regarding the quality, accuracy, or availability of the Services. 

9.2 Limitation of Liability: To the fullest extent permitted by law, SUMOSIM's total liability arising from or related to these Terms or the use of the Services shall be limited to the amount you paid for the Services in the 12 months preceding the event giving rise to the liability. 

9.3 Exclusion of Consequential Damages: In no event shall SUMOSIM be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to lost profits, loss of data, or business interruption, even if SUMOSIM has been advised of the possibility of such damages. 


10. Indemnity 

You agree to indemnify, defend, and hold harmless SUMOSIM and its officers, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: 

  • Your use of the Services. 

  • Your violation of these Terms. 

  • Any infringement of third-party rights by your content or actions. 


11. Governing Law and Dispute Resolution 

11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of United Kingdom. 

11.2 Dispute Resolution: Any disputes arising from or related to these Terms will be resolved through binding arbitration under the rules of [Insert Arbitration Organization], and the venue for arbitration will be [Insert Location]. Both parties waive any right to a trial by jury. 

 

12. Promotional 

12.1 Only individuals who have received a promo code through an email from SUMOSIM are eligible to use promotional offers, in accordance with the specific terms and conditions outlined in the promotional offer email. 

12.2 To claim the promotional offer, enter the promo code during the onboarding process in the SUMOSIM website if you're a new customer, or in the 'Settings' section of the app if you're an existing customer. 

12.3 The promotional code is personal and cannot be redeemed for cash or transferred to another party 

12.4 Each customer is limited to using one promotional code per transaction 

12.5 Should you cancel your service, the discount from the promotional code will not be reimbursed 

12.6 Improper use of the promotional code, such as sharing it with others or using it multiple times, may lead to the cancellation of the discount and/or the suspension of your account 

12.7 We retain the right to alter or terminate promotional offers at any time, without prior notification 

12.8 Any updates to the terms and conditions of the promotional offers will be sent via email

13. Miscellaneous 

13.1 Force Majeure and Blockchain Risks: SUMOSIM shall not be liable for any failure or delay in the calculation or issuance of rewards caused by events beyond its reasonable control, including but not limited to blockchain network outages, forks, smart contract failures, gas fee spikes, protocol vulnerabilities or third-party protocol disruptions. Moreover, SUMOSIM shall not be liable for any failure or delay in performance of the Services due to events beyond its reasonable control, including natural disasters, acts of government, or labour disputes. 

13.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. 

13.3 Entire Agreement: These Terms, along with any additional agreements incorporated by reference, constitute the entire agreement between you and SUMOSIM regarding the use of the Services. 

13.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without SUMOSIM's prior written consent. SUMOSIM may assign its rights and obligations under these Terms to any third party at any time.
